Common questions
What does financial and tax due diligence cover?
Financial due diligence tests the quality of earnings, working capital, debts and off-balance-sheet items. Tax due diligence reviews income-tax, GST and TDS compliance, pending notices and likely exposures. Together they show what the business is really worth and what protections the agreement needs.
Who values unlisted shares in a cross-border deal?
Under India's foreign investment pricing rules, the fair value of unlisted Indian shares must be worked out using an internationally accepted pricing method and certified by a Chartered Accountant, a SEBI-registered merchant banker or a practising cost accountant. TENVY coordinates this as part of the deal.
How long does a due diligence take?
It depends on the size of the business and how ready the data room is. TENVY agrees the scope and a timeline in the proposal before work begins.
