Common questions

Can a foreign company own 100% of an Indian company?

In most sectors, yes. Foreign investment up to 100% is allowed under the automatic route, without prior government approval, subject to sectoral caps and conditions. Some sectors have lower caps or need government approval, so the sector is checked first.

Does an Indian subsidiary need a resident director?

Yes. Under the Companies Act, every company needs at least one director who has stayed in India for at least 182 days in the financial year. TENVY can advise on how foreign groups usually meet this requirement.

What filings follow after setting up an Indian subsidiary?

The main ones are Form FC-GPR within 30 days of allotting shares to the foreign parent, the annual FLA return by 15 July, ROC annual filings, income-tax and GST returns, TDS returns, and transfer pricing documentation for dealings with the parent.
